Innovative University Terms of Use Agreement
BY USING THE INNOVATIVE UNIVERSITY YOU HAVE AGREED TO THE FOLLOWING TERMS OF USE.
Welcome to the Innovative Computing Corporation's ("Innovative") password protected Innovative University web site. Please carefully read the following agreement.
By accessing the Innovative University, you have agreed to be bound by each of the terms and conditions in this agreement.
ACCESS TO AND USE OF THE INNOVATIVE UNIVERSITY IS AVAILABLE ONLY TO AUTHORIZED CUSTOMERS OF INNOVATIVE THAT ARE COMPLYING WITH INNOVATIVE'S CURRENT SOFTWARE SUPPORT AGREEMENT AND DIRECT EMPLOYEES OF THESE COMPANIES.
Scope of Agreement
This online software support extranet service agreement (the "agreement") is between Innovative and you (collectively, with the customer (defined below), the "user"). This agreement governs the user's access to and use of the Innovative University. In addition to the terms and conditions of this agreement, user agrees to comply with the terms and conditions of the Innovative software support agreement (the "support agreement") between Innovative and customer and the terms and conditions of each of Innovative's online agreements that are published on the Innovative web site from time to time (collectively, the "terms of use agreement") that govern customer's access to and use of the Innovative web site, including without limitation the Innovative University. The support agreement and the terms of use agreement are hereby incorporated into and made a part of this agreement. This agreement (together with the support agreement and the terms of use agreement) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications, understandings and agreements, whether oral, written or otherwise.
A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records. Innovative recommends that user print a copy of the most current version of this agreement for user's records.

Access to and use of Innovative University
ACCESS TO AND USE OF THE INNOVATIVE UNIVERSITY IS AVAILABLE ONLY TO EMPLOYEES OF AUTHORIZED CUSTOMERS OF INNOVATIVE THAT ARE COMPLYING WITH THE SOFTWARE AGREEMENT AND THAT HAVE REGISTERED WITH INNOVATIVE TO ACCESS AND USE THE INNOVATIVE UNIVERSITY (COLLECTIVELY, THE "CUSTOMER").
ACCESS TO AND USE OF THE INNOVATIVE UNIVERSITY IS LIMITED TO THE CUSTOMER AND EACH OF ITS EMPLOYEES AUTHORIZED TO ACCESS AND USE THE INNOVATIVE UNIVERSITY. ANY ACCESS TO OR USE OF THE PRIVATE SITE BY CUSTOMER'S AGENTS, CONSULTANTS, CONTRACTORS OR ANY OTHER THIRD PARTIES IS NOT PERMITTED WITHOUT INNOVATIVE'S PRIOR WRITTEN CONSENT.
Innovative may, at any time and in its sole discretion, modify, revise or otherwise change the Innovative University (including without limitation adding or discontinuing any or all services or transactions offered through the private site), in whole or in part, without notice or liability to customer or to user.
Customer and/or user is/are solely responsible for acquiring, installing and maintaining all telecommunications, software, hardware and other equipment and services necessary to access and use the Innovative University in accordance with this agreement.
USER REPRESENTS AND WARRANTS TO Innovative EACH OF THE FOLLOWING:
- THAT HE OR SHE IS AT LEAST 18 YEARS OF AGE.
- THAT HE OR SHE POSSESSES THE LEGAL RIGHT AND ABILITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THE COMPANY, WHICH THEY REPRESENT.
- THAT HE OR SHE IS AN EMPLOYEE OF SAME COMPANY.
- THAT THE COMPANY HE OR SHE REPRESENTS IS A CUSTOMER OF INNOVATIVE COMPUTING CORPORATION AND CURRENTLY ON CUSTOMER SUPPORT.
